1. Acceptance of Terms

By accessing and using ComplianceWire ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

ComplianceWire is a web-based application that provides comprehensive security compliance and assessment tools. The Service includes:

  • Three interactive security assessments (NIST CSF 2.0, BCDR, Basic Security)
  • Automated security policy generation for SMB verticals
  • Tabletop exercise platform for incident response scenarios
  • Security guidance library with AI-enhanced chat support
  • Professional PDF report export with custom branding
  • Team collaboration features (up to 5 team members)
  • Unlimited document generation for your organization

3. User Accounts and Authentication

To access certain features of the Service, you must authenticate via OAuth providers (Google or Microsoft). You agree to:

  • Use a valid OAuth account from supported providers
  • Maintain the security of your OAuth account
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

4. Subscription and Payment Terms

ComplianceWire offers an annual subscription plan:

  • Annual Plan ($1,000/year): Complete access to all features including unlimited documents, all assessments, policy generation, tabletop exercises, security guidance with AI, team collaboration (up to 5 members), and priority support

4.1 Billing and Payment Processing

  • Subscriptions are billed annually in advance
  • Payment processing is handled securely through Stripe
  • Prices are in USD and may be subject to applicable taxes
  • You authorize us to charge your payment method for recurring subscription fees

4.2 Refund Policy

Due to the nature of digital services and immediate access to all features, we maintain the following refund policy:

  • General Policy: Subscriptions are non-refundable after 48 hours from the initial purchase date
  • 48-Hour Review Window: Refund requests submitted within the first 48 hours of initial purchase will be reviewed on a case-by-case basis
  • Eligibility Criteria: Refunds within the 48-hour window may be granted if:
    • The service has not been substantially used (no assessments completed, no documents generated, no policies created)
    • Technical issues prevented access to the service and could not be resolved
    • The purchase was made in error
  • Review Process: All refund requests are reviewed within 3-5 business days
  • Partial Refunds: No partial refunds are provided for unused portions of the subscription period

4.3 Cancellation

  • You may cancel your subscription at any time through your account settings
  • Upon cancellation, you will retain access until the end of your current billing period
  • No refunds will be provided for the remaining subscription period after cancellation
  • Your data will be retained for 7 days after subscription expiration for reactivation purposes

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit any harmful, offensive, or illegal content
  • Attempt to gain unauthorized access to our systems
  • Interfere with the proper functioning of the Service
  • Use the Service for any commercial purpose without our consent

6. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by ComplianceWire and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8. User-Generated Content

You retain ownership of any content you create using the Service, including:

  • Assessment responses and results
  • Generated security policies
  • Customized tabletop exercise scenarios
  • Assessment reports and exported documents
  • Organization profile information and branding

You grant us a limited, non-exclusive license to use, store, and process this content solely as necessary to provide the Service to you. We will not share your content with third parties except as required to provide the Service or as required by law.

9. Service Availability

We strive to maintain high availability but do not guarantee that the Service will be available at all times. We may experience downtime due to:

  • Scheduled maintenance
  • System upgrades
  • Technical issues beyond our control
  • Third-party service disruptions

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLIANCEWIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. COMPLIANCEWIRE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and posting the new Terms on our website.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which ComplianceWire operates, without regard to its conflict of law provisions.
